MASTER SERVICE AGREEMENT

This Master Service Agreement ("Agreement") is entered into by and between Leaf Dismissal LLC ("Leaf") and the purchasing educational institution ("School").
1. Service Description
Leaf provides a web-based dismissal management platform designed to streamline student pickup. The Service includes:
- Secure database hosting of authorized student and guardian records.
- Generation of unique QR codes for student identification.
- Real-time dashboard access for School staff to manage dismissal queues.
2. Data Privacy & Protection (FERPA Compliance)
Leaf acknowledges that in the course of providing services, we will have access to student Personally Identifiable Information (PII). We agree to the following:
- School Official Designation: For the purposes of the Family Educational Rights and Privacy Act (FERPA), the School designates Leaf as a "School Official" with a legitimate educational interest in the educational records shared.
- Data Ownership: All student data, guardian contact info, and attendance logs remain the sole property of the School. Leaf claims no ownership over this data.
- No Data Mining: Leaf will never sell, rent, or trade student data to third parties. Data is used strictly for the purpose of facilitating dismissal.
- Data Deletion: Upon termination of this Agreement, Leaf will permanently delete all School data from our servers within 30 days.
3. Security Measures
While no online service is infallible, Leaf utilizes industry-standard measures to protect your data:
- Encryption: All data is encrypted in transit (using SSL/TLS) and at rest.
- Access Control: Access to school data is restricted to authorized School Administrators and Leaf technical staff for maintenance purposes only.
4. School Responsibilities
To ensure the system works safely, the School agrees to:
- Accuracy: Ensure that the list of authorized guardians provided to Leaf is accurate and up-to-date.
- Device Security: Ensure that the devices (iPads/Phones) used to scan QR codes are kept in the possession of authorized staff members.
- Consent: Obtain any necessary parental consents required by local law for the use of third-party software.
5. Fees and Payment
- Invoicing: Services are billed annually in advance based on the tiered pricing schedule agreed upon in the Quote.
- Refunds: Leaf offers a 30-day money-back guarantee. After 30 days, the annual fee is non-refundable.
6. Limitation of Liability
To the maximum extent permitted by law, Leaf’s total liability arising out of or related to this Agreement shall not exceed the total amount paid by the School to Leaf in the twelve (12) months preceding the event giving rise to the claim. Leaf is not liable for indirect, incidental, or consequential damages.
